1. About Smooth Gift
Smooth Gift ("we", "us", "our") is operated by บริษัท สยามสมูทกิฟท์ จํากัด (Siam Smooth Gift Co., Ltd.), 44 อาคารสมูทไลฟ์ทาวเวอร์ ชั้นที่ 14 ถนนสาทรเหนือ แขวงสีลม เขตบางรัก กรุงเทพมหานคร (44 Smooth Life Tower, 14th Floor, North Sathorn Road, Silom, Bangrak, Bangkok), Tax ID 0105569008615. By creating an account or using our website or mobile app you agree to these Terms.
2. Our Role — Marketplace
Smooth Gift is a marketplace platform that connects buyers and sellers of gifts and lifestyle goods. Sellers list and sell their own products through the platform. The contract of sale is between the buyer and the seller; Smooth Gift is not a party to that contract and is not the seller of the goods.
Listings, prices, product descriptions, product images, stock levels, and shipping are the responsibility of the seller. To the extent permitted by law, we are not liable for the goods themselves, including defects, quality, fitness for purpose, or losses arising from them. We will, as a courtesy, help facilitate communication and claims between buyers and sellers.
3. Accounts
To use Smooth Gift you must register an account. By registering you confirm that you are of legal age (sui juris) under Thai law and have the capacity to enter into a binding contract. You agree to provide accurate information and not to impersonate any other person or business.
You are responsible for keeping your password and login credentials confidential. You must notify us immediately if you suspect unauthorized access at contact@smooth-gift.com. All activity through your account is deemed to be your activity, and you are responsible for it.
4. Orders, Payment & Cancellation
An order is confirmed once payment is received and the seller has accepted the order. We or the seller may refuse or cancel an order for reasons including stock unavailability, pricing errors, payment issues, or suspected fraud.
If we or the seller cancel a confirmed order, we will refund the buyer to the original payment channel within 14 business days of the cancellation.
5. Shipping & Delivery
Shipping is the seller's responsibility. Delivery times shown in a listing are estimates only and depend on the seller and the courier. Risk of loss passes to the buyer once the courier hands the parcel to the buyer.
Buyers must inspect the goods on arrival and notify us within 7 days of receipt of any defect, damage, or mismatch (see §6). After 7 days the goods are deemed accepted.
6. Damaged or Not-as-Described Items
If your item arrives damaged or does not match the seller's listing, contact contact@smooth-gift.com within 7 days of receipt with a description and clear photos. We will mediate between you and the seller to arrange a replacement, partial refund, or full refund as appropriate. Approved refunds are returned to the original payment channel within 14 business days of approval.
7. Returns & Refunds
To start a return, contact contact@smooth-gift.com. Unopened goods may be returned within 7 days of delivery for a refund or replacement, subject to the seller's return policy stated in the listing. Opened or used items are non-refundable except where required by law or covered by §6.
Once the returned item is received and inspected, approved refunds are issued to the original payment channel within 14 business days.
8. User Conduct
You agree not to misuse the service, disrupt it, or use it for any unlawful purpose. We may suspend or terminate accounts that violate these Terms. If we find conduct that is unlawful, deceptive, or fraudulent, we may suspend or terminate the account immediately at our sole discretion, with or without notice, and report the conduct to the authorities.
9. Seller Terms
If you list goods for sale on Smooth Gift, the following additional terms apply:
9.1 Listings & Content
You will not upload, post, or display any content that is illegal, deceptive, misleading, vulgar, obscene, or pornographic.
9.2 Goods Compliance
Your goods must not infringe any third-party copyright, trademark, or other right, and must comply with applicable Thai law. Your listing — title, description, images, price, condition — must match the actual goods you ship.
9.3 Identity
You will not impersonate any other person, brand, or business.
9.4 Indemnity
If you breach §9.1, §9.2, or §9.3, you agree to indemnify and hold Smooth Gift harmless from any direct and indirect damages, losses, costs, or claims arising from, or related to, the breach.
9.5 Shipping Duties
Shipping is your responsibility. We notify you when the buyer's payment is received. You must ship the order within 3 business days of that notice and update us with the tracking code immediately so we can inform the buyer. If you are out of stock or cannot ship, you must notify us within 1 business day. Repeated stock-outs or cancellations after sale may result in the listing being suspended and, for repeat offenders, removal from the platform.
9.6 Receipts & Tax Invoices
You must issue a receipt or tax invoice (ใบเสร็จ/ใบกำกับภาษี) to the buyer on request.
9.7 Settlement
You will receive payment for an order only after the buyer confirms receipt of the complete, correct goods, or after the dispute window in §5 and §6 closes with no claim.
9.8 Withdrawals
You may withdraw your available balance once it reaches a minimum of ฿500. The current withdrawal fee is ฿0 per transaction. Withdrawal limits and fees may change; the current rates shown in-app form part of these Terms.
10. Fees
Smooth Gift does not charge a platform or transaction fee at launch. We will update these Terms and notify users before introducing any platform or transaction fee. Any current fees and rates are shown in-app and form part of these Terms.
11. Intellectual Property
All content on this site — the Smooth Gift name, logos, and platform interface — is owned by Smooth Gift or its licensors and is protected by applicable law. Seller listings (titles, descriptions, images) remain the property of their respective sellers; by posting them sellers grant Smooth Gift a non-exclusive licence to display and promote them on the platform. Other product images and trademarks belong to their respective owners.
12. Limitation of Liability
Consistent with our marketplace role (§2), to the maximum extent permitted by law, Smooth Gift is not liable for the goods sold by sellers, nor for indirect or consequential losses arising from use of the platform. Our total aggregate liability to a user for any claim arising from or related to the service is limited to the platform fees (if any) paid by that user in the 12 months before the claim, or ฿1,000, whichever is greater.
13. Changes to these Terms
We may amend or modify these Terms at any time. The version in force at the time you use the service applies to that use. We will post material changes in-app or by email. Continued use of the service after a change means you accept it.
14. Governing Law
These Terms are governed by the laws of Thailand. Disputes will be resolved in the courts of Bangkok.
